Job Summary:
Reporting to the Director of the Contracting and Negotiations Group, the Vice President of Contracting and Negotiations Group candidate must have a strong background in reviewing, understanding and negotiating third-party vendor contracts as well as legal and regulatory terms. Specifically, the position will interface, as needed, with Strategic Sourcing and Bank Subject Matter Experts ("SMEs") (e.g., Legal, Tax, EIC, etc.) to negotiate, on behalf of SME stakeholders, legal and regulatory terms of third-party vendor contracts and also provide internal advice and guidance related to such contracts.
Major Responsibilities:
* Will interface, as needed, with Strategic Sourcing and Bank Subject Matter Experts ("SMEs") (e.g., Legal, Tax, EIC, etc.) to negotiate, on behalf of SME stakeholders, legal and regulatory terms of third-party vendor contracts and also provide internal advice and guidance related to such contracts.
* Must have familiarity with technology transactions, software licenses, strategic sourcing and general procurement within the banking and financial services industry.
* Will work closely with other third party management functions and 2nd line functions to drive improvement in the contract documentation, retrieval and flow process.
* Will work on special FOA projects as such projects develop.
* Will assist in the end to end contract and sourcing governance functions that comply with regulatory, third party risk management and legal requirements.
* Will need to document material changes to material legal and regulatory terms.
* Will facilitate the contract approval and risk acceptance process
* Shall coordinate the preparation of final draft contractual documentation
* In this role, the Vice President will also participate in contract audit activities as well as critical and high risk contract remediation efforts.
Additional Information:
* Minimum of 5 years in sourcing and contracts and prior contract risk/governance experience. Knowledge of the regulatory environment.
* Bachelor's and JD required;
* Direct experience in negotiating contracts under OCC 2013-29 strongly preferred;
